Siemens und Alstom setzen den nächsten wichtigen Meilenstein zu einem führenden Anbieter für Mobilitätslösungen. Die Unternehmen haben heute das Business Combination Agreement (BCA) unterschrieben für die geplante Zusammenlegung des Mobilitätsgeschäfts und der Sparte Bahnantriebe von Siemens mit Alstom. Das BCA regelt verbindlich die Details der Transaktion und folgt auf die am 26. September 2017 kommunizierte Absichtserklärung sowie den abgeschlossenen obligatorischen Informations- und Konsultationsprozess mit Alstoms Arbeitnehmervertretern.  

Die Unternehmen nominierten zudem auch die Spitze des zukünftigen Verwaltungsrates von Siemens Alstom: Roland Busch, Mitglied des Vorstands der Siemens AG, ist als Vorsitzender des Verwaltungsrats des neuen Unternehmens vorgesehen. Busch soll die Tätigkeit zusätzlich zu seinen Aufgaben bei Siemens ausüben. Sein Stellvertreter soll Yann Delabriere als unabhängiges Mitglied werden, der bereits als Lead Director Mitglied des Verwaltungsrats von Alstom ist. Die Nominierungen gelten vorbehaltlich der Zustimmung der Aktionäre von Alstom sowie der Genehmigung der Transaktion durch verschiedene Behörden. Bereits am 26. September 2017 wurde bekanntgegeben, dass Henri Poupart-Lafarge CEO der neuen Firma werden und dem Verwaltungsrat angehören soll.

Die ersten Personalnominierungen verdeutlichen sehr gut die Balance in der Steuerung des künftigen Unternehmens.”

Der Verwaltungsrat des zusammengeschlossenen Unternehmens soll aus elf Mitgliedern bestehen. Sechs Mitglieder inklusive des Vorsitzenden entsendet Siemens. Vier unabhängige Mitglieder und der CEO komplettieren das Gremium. 

Das Closing wird für Ende des Kalenderjahres 2018 erwartet. Die Transaktion unterliegt der Zustimmung der Alstom-Aktionäre auf der für Juli 2018 geplanten Hauptversammlung, der Freigabe durch die zuständigen Regulierungsbehörden einschließlich der Freigabe einer ausländischen Investition in Frankreich durch das französische Ministerium für Wirtschaft und Finanzen und der Kartellbehörden, sowie der Bestätigung durch die französische Finanzmarktaufsicht (AMF), dass Siemens nach Vollzug der Fusion kein Pflichtangebot abgeben muss. In Vorbereitung auf die Zusammenführung mit Alstom hat Siemens den internen Carve-out-Prozess seines Mobility-Geschäfts bereits gestartet. Der Hauptsitz wird in Saint-Ouen bei Paris angesiedelt sein. Das kombinierte Unternehmen wird weiterhin an der Pariser Börse notiert sein. Im Rahmen dieser Transaktion wird Siemens neu ausgegebene Anteile am zusammengeschlossenen Unternehmen in Höhe von 50 Prozent auf vollständig verwässerter Basis erhalten.
