Alstom Portals - Terms and Conditions

By accessing Alstom Portals (hereinafter referred as the “Portal”), the authorised user of the Portal (hereinafter referred as the “User”) agrees to the terms and conditions contained in this notice (hereinafter referred as the “Terms and conditions”). User means the person, organisation or company that uses the Portal.

    Hereinafter referred as “CANTO”,

    These terms of use do not alter or modify any other agreement the User might have with Alstom or its subsidiaries or affiliates.

  • Alstom  Portal is a library of communication materials, including but not limited to brand features, logos, trademarks, creative works such as texts or drawings, documents, pictures, photographs, charts, illustrations, photographs, graphic chart, hereinafter designated as the “Materials”.

    All the Materials are Alstom or its affiliates exclusive property, with the exception of any content identified as “CANTO’s ownership” and/or “Alstom Partners” ownership by agreement.

    It is outlined that CANTO™ is a trademark owned by Canto Inc.

    Subject to the User full compliance with these Terms and conditions, Alstom grants the User a personal, non-exclusive, non-transferable, free of charge and revocable right of access to and use of the Portal. Any other rights are expressly excluded except otherwise provided in a specific written agreement.

    Access to the Portal is permitted on a temporary basis and Alstom reserves the right to withdraw or amend the Portal at any time and in its sole discretion, including, without limitation, the right to delete and/or modify any Terms and conditions and/or any elements, features and functions of the Portal.

    In the event Alstom considers that the User use of the Portal is unlawful and/or unauthorised and/or violates these Terms and conditions, Alstom reserves the right to undertake any procedure it deems necessary, including to terminate these terms of use and to take any legal action.

  • Materials and/or other proprietary information owned exclusively by Alstom (and its Partners by agreement), contained in the Portal, shall be used without the express written consent of Alstom for the press activities leaded by the User (including social networks activities).

    Any total or partial use, copying, representation or reproduction, publication, downloading, display, transmission or dissemination of the Portal Materials in any form whatsoever for the press activities leaded by the User(s), is authorised by Alstom to all User(s) who have a valid account on the Portal. The Materials published in the Alstom Portal may be reproduced and used exclusively by the User for information and reporting purposes only.

    All other non-authorised uses are considered as an infringement of Alstom Intellectual Property rights according to the provisions of the French Code of Intellectual Property (Article L.122-4).

    Any User undertakes:

    • To use the Materials solely for the purpose of informing, advertising or otherwise promoting Alstom and its brand and business, and never to promote the User or a third party business;
    • To not modify the Materials and the copyrights attached to them ; it’s only permitted to edit Materials insofar as it is technically necessary for the publication (e.g. black and white instead of color format in a non-color daily newspaper) and/or merely proportionally alter the size without cropping, stretching, compressing or otherwise altering or manipulating the images/logos part of the Materials. All other uses are subject to the prior written permission:
    • User shall not store the Materials for other than the specific use which was contemplated at the time of the downloading ; the Materials should be downloaded only once and any new use is subject to a new downloading with a previous new validation of the Terms and Conditions;
    • To respect and never alter the Intellectual Property Rights registered attached to the Materials available or accessible on the Portal;
    • To expressly refrain from exploiting the Materials in a way likely to damage the reputation of Alstom and its affiliates;
    • To expressly refrain from exploiting the Materials in an inappropriate, offensive, abusive, defamatory, racist, hateful, sexist, obscene, homophobic, inflammatory, or irrelevant way;
    • Not to violate, tarnish or infringe any Intellectual Property Rights attached to the Materials owned by Alstom and its Partners or any third parties, the image right of anybody; the User refrain to use and exploit any Intellectual Property Rights registered or not or image right for which he has no authorisation.

    A limited and non-exclusive right is granted to create an hypertext link to the Portal, provided that such link does not represent Alstom or any of its products and services as false, misleading, disparaging or, any case, defamatory way. No part of this Portal may be available through another website, through hyperlink framing on the internet of in any other way.

  • The User expressly agree that any decision or action taken by him on the basis of information or Materials provided on or via the Portal are at its sole discretion and risk.

    The information and any Materials provided to the User on the Portal is provided “as is” and “as available”, without warranties of any kind, either expressed or implied, including without limitation, implicit warranties of commercial nature, fitness for a particular purpose, or non-infringement.

    The user agrees to use the Portal at its sole risk and Alstom makes no warranties with regard to non-infringement of third parties’ intellectual property rights. The User expressly agree that any decision or action taken by him on the basis of information and or Materials provided on or via the Portal are at its sole discretion and risk.

    Under no circumstances, including, but not limited to, negligence the User understands and agrees that Alstom and its affiliates, successors, assignees, employees, agents, directors, officers and shareholders shall not be liable for any direct, indirect, incidental, special, consequential, or any other damages (i) relating to or resulting from the User inability to access or use the Media Portal for any reason or any failure, error, omission, interruption, defect, delay, computer viruses; and (ii) arising from or otherwise in connection with the Portal, any websites linked to it and any information or Materials posted on it.

    If anyone brings a claim against Alstom related to the User actions or contributions, the User will indemnify and hold Alstom harmless from and against all damages, losses, and expenses of any kind (including legal fees and costs) related to such claim.

    Alstom has made all reasonable efforts to ensure that the information and Materials provided on the Portal was accurate at the time of they have been uploaded, but declines all responsibility with regard to any duty to update this information and or Materials, or for any emissions, inaccuracies or typographical errors. Any use of this information or Materials by the User is deemed to be under its control and responsibility.

    The information and Materials contained in the Portal may be modified, corrected and/or completed at any time without notice by Alstom.

    Links to Third-Party Websites

    The Portal may provide links to websites operated by parties other than Alstom. These links are provided for the User ease of reference and information only. The User understand and accept that Alstom has no control over such websites and that, as a mere third party, Alstom is not in any way responsible for (i) the availability or any content, accuracy, quality, advertising, products, services or other materials on or available from such services that may be linked to Alstom Portals or (ii) the data protection regulation applied to such websites.

    The products and services offered on websites operated by parties other than Alstom cannot be considered in any way sponsored, shared or supported by Alstom.

    Alstom’s inclusion of links does not imply any endorsement of the material contained in such websites or any association with their operators.

    The User further acknowledge and agree that Alstom shall not be responsible or liable, directly or indirectly, of any loss or damage  which you may suffer by using those websites.

    Alstom is not responsible for hypertext links from any and all third party websites to the Portal.

    Usually, the Portal is accessible 24h/24, 7 days a week. Notwithstanding the foregoing, Alstom does not warrant a continuous availability of the Portal or that Portal will operate free of bugs or errors or slow-downs.

    Alstom retains the right, at its sole discretion, to suspend, interrupt or cancel access to all or part of the Portal in the following cases, without limitation: force majeure or technical difficulties, including external or internal communications network or servers malfunction, related to the telecommunication network structure or technical difficulties.

    Alstom reserves the right to suspend or alter the access to the Platform, partially or wholly, without prior notification, to maintain, control or test the Portal. This suspension shall not be deemed to grant any right nor indemnification.

    User acknowledges that any technical mean used to access the Portal is under its sole responsibility. User represents and warrants that he/she has the skills and the means required to use the Portal, has checked that the computer equipment used is free of viruses and is in perfect working order, and finally, that he has read and accepted the Terms and conditions and agrees to comply with it.

  • The protection of personal data is essential to Alstom and an important principle of its Code of Ethics. In addition, Alstom's Privacy Policy sets out how Alstom uses and protects any personal data you may provide when using the Portal and is available online for your information.

    Alstom's data controller is ALSTOM Transport SA. Alstom ensures full compliance with the laws and regulations on the protection of personal data and more particularly, with the European General Data Protection Regulation 2016/679 of 27 April 2016. In accordance with the law of January 6, 1978 relating to information technology, files and freedoms, Alstom has filed a declaration with the French supervisory authority (the "CNIL").

    Users of the Portal are hereby informed that whenever personal data is collected on the Portal, Alstom undertakes to protect the personal data of users by preserving its confidentiality and integrity. When a user visits the Portal, Alstom does not collect any personal data and only monitors which pages are used and how they are used, without being able to identify the user as an individual.

    By becoming a registered user and/or responding to a survey and/or any other kind of questionnaire on the Portal, the User acknowledges that he/she voluntarily provides Alstom and/or its affiliates worldwide with personally identifiable data about him/her (e.g., name, first name, address, telephone number or e-mail address) (hereinafter referred to as the "Personal Data").     As a general rule, Alstom will not sell, rent or trade the User's Personal Data and on rare occasions, if at all, Alstom will obtain the User's consent before doing so.

    In the event of collection, the User's Personal Data is kept in a way that allows identification only for the time necessary for the purpose of processing.

  • Alstom ensures that appropriate security, confidentiality and integrity measures are implemented within Alstom to provide protection against unlawful or unauthorised processing and against accidental loss, destruction or damage.

    Alstom also ensures that adequate safeguards are implemented to provide the required level of protection in the event of international transfer.

  • Pursuant to the Terms and conditions, the User has, at any time, a right of access, rectification and/or deletion of any personal data that may be held by Alstom and/or the right to request the limitation of the processing or to object to the processing of such personal data.   • The Portal and the Terms and conditions are governed by, construed and applied in accordance with French law, excluding its rules pertaining to conflicts of laws.

    Any dispute or litigation that could not be resolved amicably between the parties will exclusively be submitted to the jurisdiction of the competent Tribunal Judiciaire.

  • These Terms and conditions form the entire agreement between the User and Alstom with respect to the subject matter hereof and supersedes the terms of any other communications or advertising with respect to the Portal.

    If any provision of these Terms and conditions is found by a court or a regulatory body to be invalid or unenforceable the other provisions shall continue to apply.

    Failure by any party to exercise or enforce any right or provision of these Terms and conditions shall not constitute a waiver of such right or provision.

    Nothing herein shall be construed as granting, directly or indirectly, any rights to any third parties, and third parties are not allowed to enforce any of the provisions herein against Alstom.
